Understanding Investment Risk

Investing in private enterprises involves significant risk. You may lose all the money you invest. Membership of a club, a management relationship or a review process does not remove that risk.

Business and Capital Risk

A business may fail, require more funding or perform below expectations. Customers, costs, competition, technology and regulatory developments can affect its ability to operate and grow. Income and capital repayments are not assured.

Limited Liquidity

There may be no market for your investment. You may be unable to sell when you want, and transfers may be restricted. A future sale, listing or buyback is not guaranteed.

Dilution and Investor Rights

Further share issues can reduce your percentage ownership. Voting, information, dividend and exit rights depend on the investment documents and share class. Different investors may hold different rights.

Concentration and Connections

Investments in related enterprises may face common risks. Holding several connected businesses does not necessarily provide broad diversification. Common ownership and fees may create conflicts that require disclosure and management.

Valuation and Forecasts

Private-company valuations involve judgement. Forecasts rely on assumptions and may not be achieved. Past results and case studies do not establish future performance.

Cross Border and Protection Questions

Investments may involve UK or Nigerian issuers and other permitted jurisdictions. Currency movements, remittance restrictions, local law, taxation and enforcement can affect returns and access to proceeds. A UK-based management relationship does not make a foreign issuer a UK company. Any applicable financial protection must be established for the particular activity and provider.

Existing Network Participants

The wider diaspora network remains a separate engagement community. Existing network participation does not automatically create club membership or investment eligibility. You can register your interest in the club separately.
